  • Investigate fairly and objectively 
  • Respond within 20 working days where possible


As we are not yet a registered charity, complaints cannot yet be escalated to the Charity Commission.

The Fairpath Trust is currently in the process of registering as a Charitable Incorporated Organisation (CIO). Until registration is complete and a CIO number is issued, the charity does not yet have the legal status or limited liability protections of a CIO.


1. Current Legal Position (Pre‑Registration)


At this stage:

  • The Fairpath Trust is an unregistered organisation preparing for CIO status.
  • Trustees are expected to act in line with Charity Commission guidance on good governance and trustee duties.
  • The organisation does not yet have separate legal personality.
  • Contracts, agreements or commitments must be entered into carefully, as CIO protections do not apply until registration is confirmed.


2. Liability Before CIO Registration


Until CIO status is granted:

  • Trustees may be personally responsible for commitments made on behalf of the organisation.
  • Trustees must ensure the organisation does not enter into obligations it cannot meet.
  • Trustees must act honestly, reasonably and within the scope of the organisation’s intended charitable purposes.
  • Decisions should be recorded clearly to demonstrate responsible governance.


These expectations reflect the Charity Commission’s guidance on trustee duties and risk management.


3. What Will Change After CIO Registration


Once CIO registration is complete:

  • The Fairpath Trust will become a separate legal entity.
  • Liability to third parties will normally rest with the charity, not individual trustees.
  • Trustees will have limited liability, except in cases of dishonesty, recklessness or serious misconduct.
  • Contracts and agreements will be entered into in the charity’s name, not in the name of individual trustees.


A post‑registration update will be added to this page once the CIO number is issued.


4. Reducing Risk During the Pre‑Registration Period


Trustees reduce risk by:

  • avoiding entering into contracts unless essential
  • keeping clear records of decisions
  • ensuring all spending is reasonable and aligned with charitable purposes
  • seeking advice when needed
  • ensuring the organisation remains financially prudent
  • preparing governance documents in line with CIO requirements
